1. Acceptance of these terms

These Terms of Use (“Terms”) are a binding agreement between you and Everydoor Marketing LLC (“Everydoor,” “we,” “us,” or “our”). They apply to websites, forms, accounts, directories, digital profiles, products, and services that link to these Terms, including services offered through Everydoor brands.

By accessing or using a covered service, submitting information, creating an account, or placing an order, you agree to these Terms and our Privacy Policy . If you use a service for a company or other organization, you represent that you are authorized to bind it. If you do not agree, do not use the service.

A signed proposal, order form, statement of work, subscription agreement, or brand-specific terms may supplement these Terms. If there is a direct conflict, the more specific written agreement controls for that service.

2. Eligibility

You must be at least 18 years old and legally able to enter a contract to purchase services or create a business account. Our services are intended for legitimate businesses, professionals, organizations, and adult users. You may not use the services if prohibited by applicable law.

3. Our services

Everydoor develops and provides local-business marketing tools and related services. These may include directory listings and enhanced profiles; NFC and QR products; digital business profiles; recommendation and referral tools; print products, magnets, flyers, and direct mail; websites and landing pages; video and digital content; advertising; and related consulting or fulfillment.

Features, availability, eligibility, specifications, service areas, and pricing may change. We may improve, modify, suspend, or discontinue a service where reasonably necessary. Material changes to a paid service will be handled according to the applicable order or subscription terms.

4. Accounts and security

You agree to provide accurate, current, and complete account information and keep it updated. You are responsible for protecting login credentials, restricting access to your account, and activity performed through it.

Notify us promptly if you suspect unauthorized access. We may require identity or business verification and may reject false, incomplete, misleading, or unverifiable information.

5. Content you provide

You retain ownership of text, logos, photographs, videos, reviews, links, business details, and other material you submit (“Your Content”).

You grant Everydoor a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, adapt, publish, display, distribute, and otherwise use Your Content only as reasonably necessary to provide, promote, operate, and improve the services you requested.

You represent that you own Your Content or have all permissions needed for us to use it; it is accurate and not misleading; it does not violate privacy, publicity, intellectual-property, contractual, or other rights; and its use will not violate law.

You are responsible for obtaining releases or permissions for people, properties, trademarks, music, photographs, testimonials, and other protected material included in Your Content.

You may request removal of Your Content, but copies may remain where required for legal, security, backup, accounting, or recordkeeping purposes and where content has already been incorporated into completed physical products.

6. Business listings, profiles, and recommendations

Listings and profiles are informational and may contain content supplied by businesses, professionals, customers, public sources, or third parties. Inclusion is not a guarantee, certification, or endorsement unless expressly stated.

Users should independently evaluate a business before hiring or purchasing from it.

Business owners must keep their information accurate, honor advertised offers, and comply with professional licensing, advertising, and consumer-protection requirements.

Recommendations reflect the views of the person or organization attributed to them and do not make Everydoor responsible for a provider's work, conduct, availability, pricing, or outcome.

We may edit formatting, categories, or obvious errors; request verification; decline publication; or remove content that is inaccurate, outdated, unlawful, unsafe, deceptive, or inconsistent with our standards.

7. Acceptable use

You may not:

  • Use a service for illegal, fraudulent, deceptive, threatening, harassing, discriminatory, or harmful activity.
  • Submit content that is defamatory, obscene, infringing, malicious, or that exposes another person's private information without authority.
  • Impersonate another person or business, misrepresent affiliation, manipulate reviews, or create false leads or engagement.
  • Introduce malware, probe security, bypass access controls, overload systems, or interfere with another user's access.
  • Scrape, harvest, crawl, copy, frame, or systematically extract service content except as permitted in writing or by applicable law.
  • Reverse engineer, resell, sublicense, or create derivative services from our software or platform except where expressly authorized.
  • Use contact details from a directory for spam, unlawful solicitation, or automated messaging.

8. Everydoor intellectual property

Our websites, platform software, designs, layouts, text, graphics, workflows, databases, compilations, trademarks, service marks, and other materials are owned by Everydoor or its licensors and protected by law.

Except for the limited right to use a service under these Terms, no rights are transferred to you.

“Everydoor Marketing,” brand names, logos, and related marks may not be used in a way that suggests sponsorship, endorsement, or affiliation without written permission.

Feedback you voluntarily provide may be used without restriction or compensation, provided we do not identify you publicly without permission.

9. Orders, payment, renewals, and physical products

Prices, payment schedules, production specifications, renewal terms, cancellation rights, and refund terms will be shown at checkout or in the applicable proposal or order.

You authorize us and our payment providers to charge approved amounts and agree to pay applicable taxes and fees.

Custom design, printing, personalization, NFC programming, mailing, domain, hosting, advertising, and other production work may become noncancelable or nonrefundable once work, procurement, printing, deployment, or third-party commitments begin.

You are responsible for reviewing and approving proofs, spelling, contact details, URLs, QR destinations, mailing information, quantities, and specifications. An approved proof authorizes production.

Colors and physical materials may vary reasonably from screen previews or between production runs.

Delivery and postal timelines are estimates and may be affected by carriers, postal authorities, weather, supply, recipient addresses, or events outside our reasonable control. A separate written agreement may provide additional remedies.

Subscriptions renew only as disclosed at purchase. You are responsible for canceling through the provided method before the next renewal deadline. Nonpayment may result in suspension, collection activity, or termination.

10. Third-party services and links

Services may integrate or link to payment processors, hosting companies, domain registrars, analytics providers, social networks, map services, postal services, printers, shipping carriers, and third-party websites.

Their products, availability, policies, and conduct are controlled by them. We are not responsible for third-party services, but we will use reasonable care when selecting providers we engage directly.

11. Communications

You consent to receive service-related communications at the contact information you provide.

Where permitted and with any consent required by law, we may also send marketing messages. You can unsubscribe from promotional emails using the link provided, although administrative, transactional, or security messages may continue.

12. Disclaimers and marketing results

We aim to provide useful, professional services, but business and marketing results depend on many factors outside our control, including demand, competition, pricing, reputation, offer quality, customer follow-up, search and social algorithms, postal delivery, market conditions, and third-party platforms.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE SEARCH RANKINGS, LEADS, SALES, REVENUE, RESPONSE RATES, PLATFORM UPTIME, DIRECTORY TRAFFIC, MAIL DELIVERY TO EVERY ADDRESS, OR ANY PARTICULAR BUSINESS RESULT.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded. Specific written warranties in an order or proposal remain effective according to their terms.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERYDOOR AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR A CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID EVERYDOOR FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT OR (B) US$100.

These limitations apply regardless of legal theory and even if a remedy fails of its essential purpose, but they do not apply where prohibited by law or to liability that cannot lawfully be limited.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Everydoor and its affiliates, personnel, and providers from third-party claims, damages, losses, liabilities, and reasonable costs arising from Your Content, your misuse of a service, your violation of these Terms or law, or your infringement of another person's rights.

We will provide reasonable notice and cooperation, and you may not settle a claim in a way that admits fault or imposes obligations on us without our written consent.

15. Suspension and termination

You may stop using a service at any time, subject to outstanding payment, subscription, production, and cancellation obligations.

We may suspend or terminate access if you materially violate these Terms, fail to pay, create security or legal risk, misuse a service, or if continuing the service becomes impracticable.

Where reasonable, we will provide notice and an opportunity to cure. Provisions that by their nature should survive termination—including payment, ownership, disclaimers, liability limits, and indemnification—will survive.

16. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Before filing a formal claim, you and Everydoor agree to make a good-faith effort to resolve the dispute informally by sending a written description of the issue and requested resolution.

Unless applicable law requires otherwise, legal proceedings will be brought in a court of competent jurisdiction located in Los Angeles County, California.

Nothing in this section prevents either party from seeking urgent injunctive relief or using an eligible small-claims court.

17. Changes and general provisions

We may update these Terms to reflect service, business, or legal changes. The revised Terms will be posted with a new effective date. Material changes will apply prospectively, and additional notice will be provided where required.

Continued use after the effective date constitutes acceptance of the revised Terms.

If a provision is unenforceable, it will be modified only as necessary and the remaining provisions will continue.

Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets.

These Terms and applicable written service agreements constitute the entire agreement concerning their subject matter.
